Welcome to Kami. These Terms of Service ("Terms") govern your access to and use of the Kami mobile application, website, and related services (collectively, the "Services"). By using Kami, you agree to these Terms.

If you do not agree to these Terms, please do not use the Services.

1. Eligibility

You must be at least 16 years old to use Kami. If you are under 16, you may not use the Services.

By using Kami, you represent that:

• You are legally permitted to use the Services.
• You will comply with all applicable laws and regulations.
• You will not use the Services for unlawful, harmful, abusive, or deceptive purposes.

Kami is not intended for use by children under 16.

2. Description of Services

Kami is a location-aware social discovery platform designed to help users discover nearby people, places, and experiences.

Features may include real-time or background location functionality, nearby user discovery, place and event discovery, Instagram account connection and profile import, AI-powered recommendations or analysis, messaging, notifications, social interaction features such as posts or walls, points, store items, rewards, redemptions, ambassador and partner programs, venue and event analytics, referral systems, and experimental or beta features.

Features may change over time, and some functionality may not always be available.

3. Accounts and Authentication

You may be required to create an account or connect third-party services to use certain Kami features.

You are responsible for maintaining the security of your device and account, all activity occurring under your account, and providing accurate and current information.

You may not impersonate another person or entity, use fake or misleading information, or attempt to access accounts or systems you do not own or control.

Kami reserves the right to suspend or terminate accounts that violate these Terms.

4. Location Services and Background Access

Certain Kami features depend on location permissions, including optional background location access.

By enabling these permissions, you acknowledge and agree that Kami may access and process your device location while the app is open or running in the background, and that nearby discovery features may use your location to surface relevant people, content, or experiences.

Kami may use your location to infer whether you appear to be at or near a place or event. Certain features may show other users limited presence context, such as that Kami users are nearby, that users are present at a place or event, or that you are eligible to interact with nearby users or content. Kami does not guarantee location accuracy and may occasionally identify presence incorrectly.

Location accuracy may vary. You can modify or revoke location permissions through your device settings at any time.

Do not use Kami while driving or operating vehicles or machinery.

5. Venue and Event Participation

By using venue-based, event-based, ambassador, referral, or partner features, you acknowledge that approved venues, event organizers, ambassadors, and partners may receive certain information regarding your participation, engagement, rewards activity, referrals, presence, or interactions as permitted by the Services and described in the Privacy Policy.

Kami may modify, limit, suspend, or remove such features at any time.

6. Partner and Ambassador Features

Kami may offer features involving ambassadors, venues, event organizers, or business partners. These features may include:

• Referrals
• Rewards
• Venue analytics
• Event participation
• Partner communications
• Promotions
• Community programs

Participation is optional unless required for a specific feature.

7. Communications

Users may receive communications initiated through approved Kami systems by Kami, approved ambassadors, approved venues, approved event organizers, or approved partners. Kami may impose limits and controls on these communications.

8. Instagram and Third-Party Integrations

Kami may allow you to connect third-party services, including Instagram.

By connecting third-party accounts, you authorize Kami to access information made available through those integrations in accordance with your permissions and settings.

Kami is not affiliated with, endorsed by, or sponsored by Instagram or Meta.

You may disconnect third-party integrations through the applicable third-party settings. Your use of third-party services is governed by their respective terms and privacy policies.

9. User Conduct

You agree not to harass, threaten, stalk, intimidate, or harm others; share unlawful, abusive, hateful, violent, or sexually exploitative content; use Kami to spam, scam, or deceive users; attempt to reverse engineer, disrupt, or compromise the Services; scrape, automate, or improperly access the platform; interfere with other users; or violate applicable laws or regulations.

You may not use Kami to track, stalk, surveil, or infer sensitive location patterns about others, or attempt to spoof, fake, manipulate, automate, or exploit location, presence, points, rewards, redemptions, messages, posts, or engagement. You may not attempt to redeem rewards fraudulently or exploit bugs in points or store systems.

Kami reserves the right to investigate and take action regarding behavior that may harm users, the platform, or third parties.

10. User Content, Walls, and Reporting

Kami may allow users to send messages, post text or photos to place or event walls, reply to posts, react to content, report or flag posts, or otherwise interact with other users.

User Content means text, images, photos, wall posts, profile information, messages, replies, reactions, and other material you submit or upload through Kami. You are responsible for your User Content and for making sure it complies with these Terms.

If you upload a photo or image, you confirm that you have the right to share it and that it does not violate anyone else's privacy, publicity, copyright, or other rights.

You may not submit User Content that is:

• Illegal or intended to facilitate unlawful activity
• Harassing, threatening, hateful, abusive, or intended to harm others
• Nudity or sexual content
• Violent, graphic, or dangerous
• Spam, scams, impersonation, or misleading content
• A violation of another person's privacy or intellectual property rights

Do not use messaging, walls, or social features to harass, threaten, stalk, impersonate, spam, scam, expose private information, coordinate illegal activity, or make others unsafe.

Content posted to shared surfaces, such as place or event walls, may be visible to other users. You should not post anything you would not want other users in that context to see.

Kami may remove, restrict, hide, review, or moderate User Content at our discretion, especially if it is reported or appears to violate these Terms, create risk, or harm the Kami community. We may limit posting or suspend or restrict accounts that abuse posting or reporting features or otherwise violate these Terms. We do not proactively review every post, but we may act on reports, safety concerns, or other signals.

Reporting. You may report or flag posts you believe violate these Terms. Reporting helps us identify problems, but it does not guarantee immediate removal. Do not misuse the report feature, including by making false, repetitive, or bad-faith reports.

If you believe another user has violated these Terms or created a safety concern, please contact us as described in the Contact section below.

11. Real-World Interaction and Safety Disclaimer

Kami facilitates discovery and social interaction but does not verify user identity, intent, behavior, or accuracy of information.

Users are solely responsible for their interactions with others. Please exercise common sense and prioritize your safety when meeting or communicating with people discovered through Kami.

Kami does not conduct background checks and makes no guarantees regarding user identity, user conduct, compatibility, intentions, availability, or accuracy of content or profile information.

Kami does not control venues, events, partners, or other real-world locations surfaced through the Services and is not responsible for venue conditions, event changes, third-party conduct, partner offers, or offline interactions.

12. Content and Intellectual Property

You retain ownership of User Content you submit or upload to Kami.

You keep ownership of your content, but you give Kami permission to host, store, display, reproduce, resize, compress, and distribute it within the app and related services as needed to operate Kami. This license is non-exclusive, worldwide, and royalty-free, and it applies for as long as your content is stored or displayed through the Services.

We do not claim ownership of your content, but we may access, preserve, remove, or disclose content when necessary to operate the Services, investigate abuse, enforce these Terms, protect users, or comply with law.

You represent that you own or have the necessary rights to your content and that your content does not infringe the rights of others.

Kami and its branding, software, design, and related materials are protected by intellectual property laws and may not be copied or used without permission.

13. Points, Store, Rewards, and Redemptions

Kami may offer points, rewards, store items, perks, or redemption opportunities. Points are promotional, have no cash value, are not legal tender, are not property, and cannot be sold, transferred, redeemed for cash, or exchanged outside Kami unless we expressly allow it in writing.

Kami may award, modify, withhold, revoke, expire, or reset points or rewards at any time, including to correct errors, prevent abuse, respond to suspected fraud, comply with law, or change the Services. Rewards, perks, and store items may be limited, experimental, subject to availability, location-specific, time-limited, partner-controlled, or changed without notice.

Submitting a redemption request does not guarantee approval or fulfillment. We may deny or cancel redemptions that are unavailable, erroneous, suspicious, abusive, inconsistent with these Terms, or otherwise not feasible. Additional terms may apply to specific rewards or partner offers.

14. Beta Features and Experimental Services

Certain Kami features may be identified as beta, experimental, or early-access features. These features may change frequently, contain bugs or inaccuracies, become unavailable without notice, or operate differently than intended.

Points, rewards, redemptions, place or event presence, messaging, walls, and other social features may be experimental and may change frequently.

You use beta or experimental features at your own risk.

15. Service Availability

Kami does not guarantee uninterrupted or error-free operation of the Services. The Services may occasionally experience outages, delays, interruptions, or inaccuracies.

Kami reserves the right to modify, suspend, or discontinue any part of the Services at any time.

16. Termination

You may stop using Kami at any time. Kami may suspend or terminate your access to the Services if you violate these Terms, your conduct creates risk or liability, termination is required by law or platform policy, or termination is necessary to protect users, Kami, or third parties.

Termination may result in removal of content, account access, or connected features.

17. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAMI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

Kami does not guarantee continuous operation, accurate results, successful matches or interactions, error-free performance, or security against all threats or misuse.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAMI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

This includes damages related to user interactions, personal injury, loss of data, lost profits, device issues, service interruptions, unauthorized access, reliance on content or recommendations, location accuracy, inferred presence, messages, user content, points, rewards, redemptions, partner offers, venues, events, or offline interactions.

Your use of the Services is at your own risk.

19. Indemnification

You agree to indemnify and hold harmless Kami and its affiliates, officers, employees, and partners from claims, liabilities, damages, losses, and expenses arising from your use of the Services, your content, your interactions with other users, or your violation of these Terms or applicable law.

20. Governing Law

These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.

Beta Notice

Kami is an early-stage beta product. Limited trusted administrators may access operational, location, user content, uploaded photos, wall posts, reports, messaging, points, reward, and redemption data when necessary to develop, support, moderate, secure, fulfill, and improve the platform.

21. Changes to These Terms

Kami may update these Terms from time to time. If we make material changes, we may provide notice through the Services or by other means.

Your continued use of Kami after updated Terms become effective constitutes acceptance of the revised Terms.
